根据 MM 理论，企业的价值不是融资的方式。理论假设中，有四: 类似的期望;相同的业务风险级别;可持续的现金流;完成资本市场 (在没有税收，没有破产成本和交易成本，有没有信息不对称，企业和个人可以在相同的利率借钱)，理论假设与实际情况不符。那债务融资是最首选的方式融资，和尽可能高的负债率。MM 理论过分强调债务融资、 忽略风险引起的责任，积极影响和经济现实不是一致。
